Terms of Service
Last updated: October 8, 2026
1. Agreement to these Terms
These Terms of Service ("Terms") are a contract between you and Magellan Publishing Inc., operating as LexCard ("LexCard," "we," "us," or "our"), governing your access to and use of the LexCard website, digital business card platform, email signature tools, AI Concierge, Intake Leads pipeline, and related services (collectively, the "Service"). By creating an account, accepting an invitation to a firm account, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a firm or other organization, you represent that you have the authority to bind that organization, and "you" refers to both you and the organization.
If you do not agree to these Terms, do not use the Service.
2. The Service
LexCard provides licensed legal professionals (and, where a firm account enables it, their staff) with a digital business card, a matching email signature, a QR code, and — where applicable — a "Verified in Good Standing" mark reflecting a periodic check of the professional's standing with their regulator (see Section 6). Paid plans add further features, which may include an AI chat concierge for visitors to a card ("AI Concierge"), a lead-intake pipeline, document collection, analytics, firm branding, and optional integrations with third-party practice-management tools such as Clio Manage (see Section 10). We may add, change, or remove features at any time; the current feature set and pricing are described at lexcard.io.
3. Eligibility and Accounts
3.1 Who can use LexCard. The Service is intended for licensed legal professionals, articling/licensing candidates, and support staff acting at the direction of a licensed professional, and for the prospective clients and other visitors who interact with a LexCard digital card or AI Concierge. You must be at least 18 years old and capable of forming a binding contract to create an account.
3.2 Accuracy of information. You agree to provide accurate, current information when you register, including any bar or licence number, jurisdiction, and firm information you submit, and to keep it up to date. Submitting a bar or licence number that is not your own, or that does not entitle you to the title or credentials shown on your card, is a material breach of these Terms.
3.3 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at info@lexcard.io if you suspect unauthorized access.
3.4 Firm accounts. A firm administrator may invite team members, and is responsible for ensuring each team member is authorized to represent the firm, for managing that team's access, and for the firm's compliance with these Terms across every card and account under the firm.
4. Subscription Plans, Fees, and Billing
4.1 Plans. LexCard offers a free tier and several paid tiers, described at lexcard.io/#pricing, which may change from time to time. We will give reasonable notice of price changes before they take effect for an existing subscription.
4.2 Billing. Paid subscriptions are billed in advance, monthly or annually, through our payment processor, Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. An annual plan is billed as a single upfront payment and is priced at ten times the monthly rate (two months free compared to paying monthly). We do not store your full payment card number; Stripe processes and stores that information under its own terms and security standards.
4.3 Auto-renewal and cancellation. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account settings or through the Stripe customer portal; cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. We do not provide refunds or credits for partial subscription periods, except where required by applicable law.
4.4 Downgrade and non-payment. If a subscription payment fails or a subscription is cancelled, your account and cards continue to work at Free-tier functionality; paid features (lead capture, AI Concierge, document upload, integrations, full analytics, and the removal of the "Powered by LexCard" badge, as applicable) are suspended until payment resumes or you downgrade.
4.5 Taxes. Prices do not include applicable taxes, which may be added at checkout depending on your location.
5. Free Tier and Badge Attribution
The free tier includes one digital card, one email signature, and the verified mark described in Section 6, and carries a "Powered by LexCard" attribution link. That link records which account referred a new signup for our own analytics purposes; it is not shared with the referring account beyond an aggregate count. The attribution link is removed automatically on every paid plan.
6. The "Verified in Good Standing" Mark
6.1 What the mark means. Where a card displays a "Verified in Good Standing" mark, it reflects the result of our most recent check of the professional's standing against the relevant regulator's public register (their law society or bar association, depending on jurisdiction), as of the date shown on the card. Checks are performed periodically — generally monthly — by a member of our team reviewing the regulator's own public directory, not through a live or continuous connection to the regulator.
6.2 What it does not mean. The mark is informational only. It is not a guarantee, warranty, or certification of a professional's current standing, qualifications, insurance, or fitness to practise at the moment you view it, and it does not constitute an endorsement by LexCard, the regulator named, or anyone else. A professional's standing can change between our checks. The absence of a mark, or a card showing "Verification pending," does not by itself indicate anything adverse about that professional — it may simply mean a check has not yet been completed or is due to be refreshed. Anyone relying on a professional's licensing status for a matter of consequence should independently verify that status directly with the relevant regulator.
6.3 Accuracy disputes. If you believe a mark, or the absence of one, is inaccurate, contact us at info@lexcard.io and we will investigate and correct it as appropriate.
7. AI Concierge and Other Automated Features
7.1 Not legal advice. The AI Concierge and any other AI-assisted feature of the Service generate responses automatically and may be incomplete, inaccurate, or out of date. Nothing generated by the AI Concierge is legal advice, and no attorney-client, solicitor-client, or other professional relationship is formed between a visitor and LexCard, or between a visitor and the professional whose card hosts the conversation, by virtue of that conversation alone. Each LexCard customer remains solely responsible for how they represent their own services, for following up with and advising anyone who contacts them, and for whether and how they rely on any AI-generated summary, classification, or draft the Service produces.
7.2 Customer responsibility. If you are a LexCard customer, you are responsible for reviewing what the AI Concierge says on your behalf, for the accuracy of the practice information you configure it with, and for complying with your own regulator's rules on advertising, solicitation, and the use of automated or AI tools in client communications. You should not treat the AI Concierge as a substitute for your own professional judgment or for timely follow-up with a prospective client.
8. Your Content
8.1 Ownership. You retain ownership of the content you submit to the Service — your name, photo, biography, firm information, and similar card content ("Your Content"). You grant LexCard a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and transmit Your Content solely as necessary to operate and provide the Service to you (for example, rendering your public card page, generating your email signature, or including your logo on a branded export).
8.2 Your warranties. You represent that Your Content is accurate, that you have the right to submit it, and that it does not infringe any third party's intellectual property, privacy, or other rights, and does not violate any law or your regulator's rules.
8.3 End User content. Where a visitor interacts with your AI Concierge, submits an intake form, or uploads a document through the Service, that content belongs to you as the collecting professional (or your firm) for the purposes of your own client relationship, and LexCard processes it on your behalf as described in Section 13 and in our Privacy Policy.
9. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose, or in a way that violates your regulator's professional conduct rules;
- misrepresent your credentials, licensing status, or affiliation with any firm;
- attempt to interfere with, disrupt, or gain unauthorized access to the Service, other accounts, or our systems;
- scrape, harvest, or systematically extract data from the Service other than through features we provide for that purpose;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits;
- upload malicious code, or content that is unlawful, defamatory, harassing, or infringing; or
- use the AI Concierge or any other feature to collect personal information from a visitor beyond what is reasonably necessary for a legitimate client-intake purpose, or without providing appropriate notice where required by applicable privacy law.
We may suspend or terminate access for a violation of this section.
10. Third-Party Services and Integrations
The Service relies on, and may let you connect to, third-party services, including Stripe (payments), and, where you choose to connect it, a Zapier automation you configure yourself to send intake data to your own Clio Manage account (or another practice-management tool). LexCard does not have a direct integration with Clio Manage or any other practice-management platform; any such integration runs through an automation you set up and control in your own Zapier account, connected to your own account with that third-party tool. We are not responsible for the availability, accuracy, or security of any third-party service, including one you connect through Zapier, and your use of those services is governed by their own terms.
11. Intellectual Property
The Service, including its software, design, text, graphics, and the LexCard name and logo, is owned by Magellan Publishing Inc. or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted to use the Service, nothing in these Terms transfers any ownership interest in the Service to you.
12. Privacy
Our Privacy Policy, available at lexcard.io/privacy, describes how we collect, use, and share personal information through the Service and is incorporated into these Terms by reference.
13. Your Responsibilities Regarding Client and Lead Data
Where the Service collects personal information from your prospective or current clients on your behalf — through your card, AI Concierge, intake form, or document requests — you act as the party responsible for that data under applicable privacy law and your professional obligations (including confidentiality and, where applicable, solicitor-client privilege), and LexCard acts as a service provider processing that data under your instructions, as described in our Privacy Policy. You are responsible for:
- having a lawful basis to collect and use that information, and providing any notice or obtaining any consent your professional and privacy obligations require;
- responding to requests from your own clients or leads to access, correct, or delete their information, with our reasonable assistance as described in the Privacy Policy; and
- your own retention and confidentiality practices for anything you download, export, or push to a connected third-party tool such as Clio Manage.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY VERIFICATION MARK, AI-GENERATED CONTENT, OR ANALYTICS FIGURE WILL BE ACCURATE OR COMPLETE AT ALL TIMES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGELLAN PUBLISHING INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.
16. Indemnification
You agree to indemnify and hold harmless Magellan Publishing Inc. from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right, except to the extent caused by our own breach of these Terms or negligence.
17. Term and Termination
These Terms apply for as long as you maintain an account or otherwise use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, including the Acceptable Use section, or if we reasonably believe your account has been used fraudulently or to misrepresent licensing status. On termination, your right to use the Service ends; we will handle any remaining data as described in our Privacy Policy and applicable law.
18. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice (such as an email or an in-app notice) before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
19. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. You and LexCard each submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising from these Terms or the Service.
20. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, internet or infrastructure outages, labour disputes, or government action.
21. General
21.1 Assignment. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
21.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
21.3 Entire agreement. These Terms, together with the Privacy Policy and any order or plan description you agreed to at checkout, are the entire agreement between you and LexCard regarding the Service, superseding any prior agreements on the same subject.
21.4 No waiver. Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.
21.5 Notices. We may provide notices to you by email to the address on your account or by posting on the Service. You may provide notices to us at the contact information below.
